In May 14 reports, OpenAI has engaged outside counsel to explore legal options against Apple, including a potential breach-of-contract claim. The core of the dispute: when OpenAI and Apple formalized the ChatGPT integration with iOS in 2024, OpenAI expected prominent placement in Siri and Apple's system settings would drive a significant surge in ChatGPT Plus subscriptions. The actual revenue from the iOS integration was "nowhere close" to OpenAI's projections.
Apple's counter-grievances include concerns about OpenAI's privacy standards and frustration that OpenAI is building hardware — a project led by Jony Ive — that competes with iPhone.
No filing has been made. OpenAI still hopes to resolve this outside court. The dispute may settle quietly. But "nowhere close to projections" and "the placement was buried and hard to find" are phrases that should land differently if you've ever built anything on a platform you don't control.
The gap that's always in the contract
OpenAI's theory is that Apple made a distribution commitment — that ChatGPT would be prominently integrated into Siri and Apple system settings — and then didn't deliver on the prominence. The integration exists. The visibility and conversion were Apple's call, not OpenAI's. ChatGPT appeared in iOS, but finding it required navigating menus that most users never opened.
That gap — between what a distribution partnership means to the platform and what it means to the developer building on it — is one of the oldest stories in software.
App Store featuring agreements, marketplace "preferred partner" programs, platform-recommended tool lists, "Works with X" badge programs: all of these are variations of the same deal. The developer gets a distribution promise. The platform controls the execution. The contract rarely specifies what prominence, conversion rate, or user exposure the partner should expect. It specifies the technical integration.
OpenAI is large enough to hire lawyers when the discrepancy matters. Most solo developers are not.
Apple's pivot is the real signal
While the legal dispute is happening, Apple is also quietly changing the terms of the relationship in a way that makes the lawsuit more complex.
Apple is now testing integrations with Anthropic's Claude and Google's Gemini in addition to ChatGPT. The iOS 27 roadmap, which Apple is expected to preview at WWDC in June, includes multi-model Siri support — users choose from several AI providers rather than getting ChatGPT as the default or exclusive option.
If that ships, OpenAI goes from "integrated but buried" to "one of three options." The distribution story goes from "we have exclusive iOS AI placement" (the original deal) to "we compete with Claude and Gemini inside Siri." The market share of ChatGPT users who get it through Siri — the population that drives the subscription projections OpenAI was counting on — becomes smaller and harder to predict.
This is the move that platforms make when a single-vendor dependency creates negotiating leverage for the partner. Apple used it with Google Maps (supported multiple mapping services), with payment processing (expanded Apple Pay alternatives), and with streaming (went from iTunes exclusivity toward multiple providers). The pattern is consistent: once a partner relationship creates terms Apple doesn't like, Apple reduces the partner's leverage by introducing competition.
The lawsuit is about past underperformance. The multi-model strategy is about future leverage. Both are happening simultaneously.
The solo operator version of this situation
I've been in a version of this deal three times in the last four years. Never with Apple. Never for amounts that would justify lawyers. But the structure was identical.
First time: a newsletter placement deal where the sponsor promised to include my product in their "featured tools" section. They included it once in six months, in a section that had six other tools listed in smaller text. Technically compliant. Effectively worthless. I had no contract language to point to that defined what "featured" meant.
Second time: a marketplace listing where the platform promised "promoted visibility" for a quarter in exchange for a pricing adjustment. The promoted section had forty products in it, rotated weekly, ordered by algorithm. My visibility was measurably identical to unpromoted listings. Again: technically delivered, economically irrelevant.
Third time: a platform integration that the platform's sales team said would appear in their onboarding flow. It appeared in their documentation. The onboarding flow had a different integration highlighted. Not false — just not what either of us meant when we said "onboarding flow."
In none of these cases was there a number. No definition of what "featured," "promoted," or "highlighted in onboarding" would actually mean in terms of impressions, clicks, or conversion. The promises were qualitative. The outcomes were unverifiable.
The contract question that would have changed things
OpenAI's lawyers are probably looking at the original deal documents right now, trying to find language that defines what "integration with Siri" was supposed to mean. My guess is they're finding what every developer finds when they go back to these agreements: the technical integration is specified in detail and the distribution behavior is described in terms that don't bind anyone to a measurable outcome.
The contract question that would have changed the outcome for OpenAI — and that every solo developer should ask before signing a distribution or partnership agreement — is: what is the specific, measurable delivery you're committing to?
Not "we'll feature you in the marketplace." How many unique impressions per month? In what placement, defined by pixel position and page?
Not "we'll include you in our recommended tools list." How many times per year, in what context, to what audience size?
Not "you'll be integrated with the default assistant." In what exact UI flow, triggered by what user actions, with what call-to-action?
These questions feel aggressive to ask. Platform sales reps are not used to being asked them. The fact that they feel uncomfortable to ask is itself information: the partner wants the deal's terms to be defined loosely enough that "technically delivered" and "usefully delivered" look the same.
The multi-vendor AI strategy playbook
Apple's move toward multi-model Siri is worth understanding as a pattern, not just as context for this dispute.
Every major AI company is currently in some version of a single-platform dependency. OpenAI needs iOS distribution. Anthropic is in a similar position with its enterprise deals. The platform companies — Apple, Microsoft, Google — have all moved toward multi-vendor AI strategies in the last six months. You see it in Apple's multi-model Siri. In Microsoft's "bring your own model" Azure AI Foundry direction. In Google's AI Studio support for Anthropic and Meta models alongside Gemini.
The pattern is: platform company signs exclusive or preferred-partner deal with AI company, uses the deal to get favorable terms or technical access, then expands to multi-vendor once the integration is established. The original partner goes from "exclusive" to "one of several." The deal was always contingent, even if it didn't read that way at signing.
For a solo developer, the version of this is: don't model your growth trajectory on a single platform's distribution behavior as though that behavior is fixed. Platforms optimize for their own users and their own positioning. Your prominence in their ecosystem is negotiable downward at any time, and they don't need to tell you when they're doing it.
The honest take on whether this matters to you
OpenAI vs. Apple is interesting because of who the parties are. The underlying dispute is not unusual. Platform deals underdeliver for the distributed party all the time. The resolution is usually renegotiation, not litigation.
What should change for a solo developer is not "don't sign platform deals" — distribution partnerships, marketplace listings, and API integrations are real opportunities. What should change is the assumption that a distribution promise without specific metrics is a distribution commitment.
If someone offers to feature your product, ask what feature means in numbers before you restructure your pricing, delay other work, or build your next six months around the partnership's projected upside.
OpenAI is now asking Apple that question with lawyers. The same question was available to ask before signing, in plain language, without billing hours.
